1. Services Provided
 
MP Studio & Designs provides creative design services and general business support under the service designation Creative Foundations & Support. Services may include, without limitation, graphic and visual design, branding materials, logo design, website setup, digital assets, photography and media editing, templates, and general guidance related to creative tools, platforms, or workflows.
 
All services are provided on a project-based or session-based basis and are limited to the scope agreed upon at the time of booking or engagement.
 
 
2. No Professional Advice
 
MP Studio & Designs does not provide legal, financial, accounting, tax, medical, mental health, marketing, or business consulting services.
 
Nothing provided by MP Studio & Designs, whether verbally, in writing, or through delivered materials, shall be construed as professional advice or as a substitute for advice from a licensed or certified professional. Clients are encouraged to seek independent professional guidance where appropriate.
 
 
3. Client Responsibility
 
Clients acknowledge and agree that they are solely responsible for:
 

• All decisions, actions, implementations, and outcomes

• Compliance with applicable laws, regulations, platform rules, and third-party policies

• The use, modification, and distribution of any delivered materials

 
MP Studio & Designs does not assume responsibility for client compliance, business decisions, or third-party requirements.
 
 
4. No Guarantees or Warranties
 
All services and materials are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
 
MP Studio & Designs makes no representations or guarantees regarding results, outcomes, performance, revenue, audience growth, compliance, or suitability for any particular purpose.
 
 
5. Limitation of Liability
 
To the maximum extent permitted by law, MP Studio & Designs shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business, loss of profits, or reputational harm, arising out of or related to the use of its services or materials, even if advised of the possibility of such damages.
 
In no event shall MP Studio & Designs’ total liability exceed the amount paid by the client for the specific service giving rise to the claim.
 
 
6. Intellectual Property
 
Unless otherwise agreed in writing, clients retain ownership of final delivered assets upon full payment. MP Studio & Designs retains the right to display completed work in portfolios, websites, and promotional materials unless explicitly requested otherwise in writing.
 
Clients are responsible for ensuring they have proper rights or licenses for any content, materials, or assets they provide.
 
 
7. Collaborative Nature of Services
 
Clients acknowledge that services provided by MP Studio & Designs are collaborative and supportive in nature. MP Studio & Designs does not assume any fiduciary duty, duty of care, or obligation beyond the scope of the agreed services.
 
 
8. Booking and Payment Acknowledgment
 
By scheduling, purchasing, or otherwise engaging services from MP Studio & Designs, clients acknowledge that they have read, understood, and agreed to these Terms and Disclaimers.
 
All bookings are final unless otherwise stated in writing. Session time is reserved exclusively for the client.
 
 
9. Governing Law and Venue
 
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or services provided shall be resolved exclusively in the appropriate courts located within the State of Texas.
 
 
10. Severability
 
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
